Ken Rollins is a member of the firm’s Financial Institutions and Corporate Finance & Securities practice groups. Mr. Rollins' diverse practice ranges from advising billion dollar financial institutions on matters involving regulatory compliance, acquisitions and divestitures to advising individual clients with respect to contract negotiation and business formation.
While Mr. Rollins' practice focuses primarily on advising financial institutions in all aspects of their business, Mr. Rollins has substantial experience in a wide range of general corporate matters including:
- contract negotiation,
- all aspects of corporate governance (including formation and general corporate advice),
- corporate mergers, acquisitions and divestitures,
- commercial and consumer lending transactions,
- loan workouts, creditors’ rights and collection matters,
- real estate acquisitions and divestitures,
- commercial landlord and tenant rights,
- real property tax assessment appeals, and
- federal and state securities law compliance.
Recent notable representative matters include:
- Issuer's counsel in connection with the public offering of common stock by various unaffiliated institutions representing in excess of $100 million in new capital, in the aggregate.
- Bank counsel in connection with Department of Treasury investments in public and private banks and bank holding companies pursuant to the Treasury's Troubled Asset Relief Program - Capital Purchase Program (TARP).
- Debtor's counsel in connection with the successful completion of a $1.05 million sale of assets of a Chapter 11 debtor-in-possession.
Mr. Rollins graduated in 2005 from the Dickinson School of Law of the Pennsylvania State University, where he attended on academic scholarship and was a recipient of various awards in recognition of his academic achievement. Active in the community, Mr. Rollins is currently Corporate Secretary of Aurora Social Rehabilitation Services, a Harrisburg based nonprofit providing services to adults with mental illness and mental retardation for over 40 years, and is a graduate of the Leadership Harrisburg Area Class of 2008.
